The Infrastructure Realty Trust ("IRT") is a Wyoming based investment company (investment vehicle) externally managed by its Asset/Investment Manager. The IRT primarily invests in industrial infrastructure assets and infrastructure real estate. In addition to these physical real assets, it also owns and manages certain financial assets that include a portfolio of publicly traded securities of other companies. Pursuant to the provisions of the Investment Company Act of 1940 § 3(c)5(C), Infrastructure Realty Trust is exempt from registration as an investment company, and its equity interests are privately held by accredited investors thus its equity interests are neither publicly traded nor listed on any major public stock exchange.
